In a down round, preferred stock anti-dilution provisions protect investors. Broad-based weighted average anti-dilution adjusts the conversion price using the formula: New Price = (Old Price x Old Shares + New Investment) / (Old Shares + New Shares). Old shares: 2M. Old price: $5. New investment: $3M (1M shares x $3). New price = ($10M + $3M) / (2M + 1M) = $13M / 3M = $4.33.
